Welcome to Admitboost! These Terms of Service (“Terms”) govern your access to and use of our platform and services offered, including but not limited to 1:1 consulting, AI-based essay review (BoosterAI), and our token system (collectively, the “Services”). These Terms form a legally binding agreement between Admitboost (“Admitboost,” “we,” “us,” or “our”) and you (“User,” “you,” or “your”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use or access our Services.

1. Description of Services

1. 1:1 Consulting
   Admitboost offers personalized one-on-one consulting sessions to help guide Users through various aspects of their college admissions journey. This may include advising on school selection, application strategy, essay brainstorming, and other admissions-related inquiries.
2. College Essay Review (BoosterAI)
   Admitboost provides an AI-powered essay review tool, BoosterAI, which uses artificial intelligence to analyze and provide feedback on your college essays. The feedback may include suggestions on structure, grammar, clarity, and content considerations.
3. Token System
   • Users can purchase or receive tokens, which are used exclusively for BoosterAI services.
   • 10 tokens provide access to one (1) AI essay analysis session via BoosterAI.
   • Tokens are non-refundable and non-transferable once redeemed for Services, unless otherwise required by applicable law or explicitly stated in these Terms.

2. Eligibility

To use our Services, you must:

1. Be at least 15 years old or have the express permission of a parent or legal guardian if you are under the age of 15.
2. Have the legal capacity to enter into a binding contract.
3. Ensure any information you submit is accurate, truthful, and up to date.

By using the Services, you represent and warrant that you meet all the eligibility requirements outlined in these Terms.

3. User Accounts

1. Account Creation
   To access certain Services (e.g., booking a 1:1 consulting session or using BoosterAI), you may be required to create an account with us. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary.
2. Account Security
   You are responsible for maintaining the confidentiality of your account login credentials. You agree to notify us immediately of any unauthorized use or suspected breach of your account.

4. Booking and Payment Terms

1. Consulting Sessions
   Booking a 1:1 consulting session with Admitboost may involve an upfront payment or a deposit, depending on the package you choose. Rescheduling or cancellation policies may vary and will be provided at the time of booking.
2. Token Purchases
   You may purchase tokens to be used for BoosterAI services. The cost of tokens will be clearly displayed on our platform prior to purchase. Token purchases are generally non-refundable unless otherwise stated or required by law. You acknowledge that the redemption of tokens for AI essay review is final; tokens cannot be reinstated once used, even if you are dissatisfied with the outcome.
3. Payment Methods
   We accept various payment methods, such as credit/debit cards, PayPal, or other payment processors. By making a payment, you represent and warrant that you are authorized to use the designated payment method and that you authorize us to charge that payment method for the total amount of your purchase.

5. BoosterAI and AI-Generated Feedback

1. Nature of AI Services
   BoosterAI analyzes essays using AI-based algorithms to provide insights and suggestions for improvement. The feedback provided by BoosterAI should be considered advisory only and is not a guarantee of specific application outcomes or admission results.
2. Limitations of AI Feedback
   AI-generated feedback may occasionally contain errors, omissions, or inconsistencies. You acknowledge and accept the inherent limitations of machine-generated feedback. You are solely responsible for verifying and interpreting the suggestions and feedback provided.
3. User Responsibility
   You maintain full responsibility for the content, accuracy, and originality of your submissions. You agree not to submit any content that infringes on the intellectual property rights of others or violates any applicable laws.

6. Intellectual Property

1. Admitboost Content
   All content and materials provided on the Admitboost platform, including but not limited to text, graphics, logos, trademarks, and software (the “Admitboost Content”), are owned by or licensed to Admitboost. You may not use, reproduce, distribute, or create derivative works from the Admitboost Content without our express written permission.
2. User Content
   By submitting essays, materials, or other content (“User Content”) to our platform or for use in our Services, you grant Admitboost a non-exclusive, worldwide, royalty-free license to use, modify, display, and reproduce your User Content solely for the purpose of providing Services to you. You represent and warrant that you have all necessary rights to grant this license and that the use of your User Content in accordance with these Terms will not infringe or violate any third-party rights.

7. Prohibited Activities

When using our Services, you agree not to:

1. Violate any applicable local, state, national, or international law or regulation.
2. Submit false, misleading, or fraudulent information.
3. Infringe on any third party’s intellectual property or other proprietary rights.
4. Use the Services for any unauthorized or illegal purposes.
5. Reverse engineer, disassemble, or otherwise attempt to derive the source code of any software used in our Services.
6. Interfere with the security or integrity of our Services or servers.
7. Engage in any conduct that restricts or inhibits anyone’s use of our Services or that may harm Admitboost or Users of the Services.

8. Disclaimer of Warranties

1. Use at Your Own Risk
   The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied. To the fullest extent permissible by law, Admitboost disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
2. No Guarantee of Results
   We do not guarantee any specific admission outcome, scholarship offer, or other academic or professional achievement. Any reliance on the Services, including BoosterAI, is at your own risk.

9. Limitation of Liability

1. Indirect Damages
   In no event shall Admitboost be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Services.
2. Aggregate Liability
   To the extent permitted by law, Admitboost’s total liability to you for any damages under these Terms or in connection with your use of the Services shall not exceed the amount you have paid to Admitboost for the specific Service giving rise to the claim in the six (6) months preceding the event giving rise to the liability.
3. Basis of the Bargain
   The limitations of liability set forth in these Terms are fundamental elements of the basis of the bargain between Admitboost and you.

10. Indemnification

You agree to defend, indemnify, and hold harmless Admitboost and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, and agents (collectively, “Indemnified Parties”) from and against any third-party claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services, including your User Content and any use of the Admitboost Content.

11. Modifications and Termination

1. Modifications to Terms
   We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when posted. Your continued use of our Services following the posting of revised Terms means that you accept and agree to the changes.
2. Termination of Services
   Admitboost reserves the right to suspend or terminate your access to the Services at any time for any or no reason, including but not limited to a violation of these Terms. Upon termination, your right to use the Services will immediately cease, and any tokens you hold may be forfeited unless otherwise required by law or stated in a separate agreement.

12. Governing Law and Dispute Resolution

1. Governing Law
   These Terms are governed by and construed in accordance with the laws of the jurisdiction where Admitboost is headquartered, without regard to conflict of law principles.
2. Dispute Resolution
   Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in the jurisdiction where Admitboost is headquartered, unless otherwise required by applicable law.

13. Miscellaneous

1. Entire Agreement
   These Terms, along with our Privacy Policy, constitute the entire agreement between you and Admitboost regarding the Services and supersede all prior agreements and understandings.
2. Severability
   If any provision of these Terms is held to be invalid or unenforceable under applicable law, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect.
3. Waiver
   Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
4. Assignment
   You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights or obligations under these Terms at any time without notice.
